Pearl Terms of Service
The Pearl browser, the Pearl Pass app, the Pearl Pass, Pearl Shield and PerliDownload extensions, and the Pearl sync service
1. Agreement
These terms are an agreement between you and Perlicom Systems Ltd (company number 546999, Ireland), "Perlicom", "we" or "us". They cover the Pearl browser app for Linux, Windows, macOS and Android, the Pearl Pass app for Android (and for iOS when it is released), the Pearl Pass, Pearl Shield and PerliDownload browser extensions, and the Pearl sync service at browser.perlicom.com, together "the products". By installing or using a product you accept these terms. Our Privacy Policy explains how data is handled and forms part of these terms.
Server logs. When you use the products, our servers keep technical request logs: your IP address, the time, the address requested, the response and your app or browser's user agent. We keep them for 30 days for security, abuse prevention and troubleshooting, then delete them automatically. The Privacy Policy explains this in full.
Usage counts. Using the products includes sending us daily counts of which screens and features are used, linked to your account. They contain no content, are needed to keep the apps working and improve them, and cannot be switched off; if you do not want them sent, do not use the products. See the Privacy Policy for what is counted and how long it is kept.
You must be at least 16 years old to use the Perlicom account.
2. Store-specific terms
If you installed a product from Google Play, the Chrome Web Store or Microsoft Edge Add-ons, that store's own terms also apply between you and the store operator. These terms are between you and Perlicom only, not the store operator, and the store operator is not responsible for the products, their support, maintenance, or any claim about them.
When the Pearl Pass app is offered on Apple's App Store, Apple's Licensed Application End User License Agreement also applies to it. Apple and its subsidiaries are third-party beneficiaries of these terms for that app and may enforce them. Apple has no obligation to provide maintenance or support, and, to the extent the law allows, no other warranty obligation for that app; any claims about it (including product liability, legal or regulatory compliance, consumer protection, or intellectual property claims) are Perlicom's responsibility, not Apple's.
3. The software and the service
The products are currently provided free of charge. We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use them on devices you own or control, for their intended purpose. Third-party components and filter lists are used under their own licences, listed in the app's Licences page and in the NOTICE file inside each extension.
Advertising. The Pearl app for Android is supported by advertising supplied by Google AdMob: a banner at the foot of the new-tab page, Settings, Downloads and History. No advert is placed on or over a web page or on a Pearl Pass screen, and there are no full-screen adverts. Nothing from your browsing or your vault is shared with an advertiser or used to target an advert. Google may use your device's advertising ID to personalise the adverts, and you can withdraw your consent or switch personalisation off at any time. The desktop app and the extensions carry no advertising. The Privacy Policy explains this in full.
You may not copy, resell or redistribute the products as your own, remove notices, or reverse-engineer them except as permitted by law.
4. Updates
Some updates fix security problems, so a Pearl Pass app installed from our website may ask you to install a new version before you can keep using it, and the extensions update automatically through your browser or store. Autofill that is already set up keeps working while an update is pending. Copies installed from an app store are updated through that store. We may stop supporting old versions that can no longer be kept secure.
5. Your account and your master password
The Perlicom account uses Google sign-in. You are responsible for keeping your Google account, your devices, your phone's screen lock and your master password secure.
Pearl Pass is end-to-end encrypted: Perlicom never has your master password and cannot recover it or decrypt your vault. If you forget your master password, synced data can only be erased and started again. Keep an encrypted export of anything you cannot afford to lose.
Fingerprint and face unlock are conveniences, not a replacement for your master password. Anyone who can unlock your phone with a biometric you have enrolled on it may be able to open Pearl Pass. Face unlock can be less secure than a fingerprint, and it never opens the vault on its own. Only enrol biometrics that belong to you.
Deleting your account. You can stop at any time by uninstalling the app and removing the extensions. If you have an account, you can request its deletion in the app (Settings > Request account deletion) or at browser.perlicom.com/delete-account; we process requests within 30 days and e-mail you when done.
6. Autofill
Pearl Pass offers your saved details in apps and websites and fills them only when you choose them. It never submits a form or presses Log in for you. Always check that you are in the app or on the site you expect before you use a login, a payment card or a code.
7. Verification codes from your phone
The Pearl Pass app relays verification codes from notifications on your phone to Pearl Pass in your browser. It is on by default once you have granted notification access during setup, and you can turn it off at any time. Use it only on a phone you control, and only for accounts that are yours. Fair use applies: it is for personal sign-ins, not for receiving codes for other people, bulk account creation or automated access to other services. A relayed code is offered as a convenience and expires after five minutes. Never use a code on a page you did not expect to ask for it.
8. Sync service limits
The service has per-account limits (currently 50,000 items and 64 MB of encrypted data) and may limit new sign-ups to protect the service. Do not use automated means to create accounts or to exceed these limits, and do not store content in the service that you have no right to store. We may rate-limit, suspend or close an account that breaks these terms or endangers the service or other users.
9. Downloading and blocking content on other websites
PerliDownload saves media and files from the pages you visit. It does not circumvent DRM or other copy protection. You are responsible for making sure you have the right to download and keep anything you save, and for respecting the terms of the websites you use. Do not use it to obtain copyrighted material without permission.
Pearl Shield blocks advertising and tracking requests and hides empty ad space. Some websites restrict access for visitors who block ads, and some sites' terms prohibit it. That is between you and the website. You can pause Pearl Shield for any site with one click.
10. If the sync service closes
If we plan to shut the sync service down, we will give reasonable notice so you can export your data. The app and extensions keep your vault on your device without the service.
11. Your content and the licence you give us
You own your content. "Your content" means the text, images, audio, video, recordings, files and other material that you create, upload, post, publish or share through Pearl. We do not claim ownership of your content, and nothing in these terms gives us ownership of your personal data.
The licence you give us. For content that you choose to publish through Pearl (for example by posting it publicly, making it available to other Pearl users or the public, or creating a public link that anyone can open), you grant us a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, use, copy, reproduce, store, modify, adapt, translate, create derivative works from, publish, display, perform and distribute that content, in any media, including to market and promote Pearl and our other apps.
Private content and private communications are not covered. Content that you keep to yourself, including anything that Pearl only syncs between your own devices or protects with end-to-end encryption (which we cannot read), and content that you send privately to particular people (for example messages, calls, meetings and their recordings, files sent to named recipients, or records you share with your own clients) are not covered by that licence. We only store, copy, encrypt and transmit that content as needed to provide Pearl to you and the people you send it to, and we never use it for marketing.
- Sub-licensable means that we may pass these rights on to service providers who help us run Pearl (for example hosting and delivery) and to partners who carry our marketing, only for those purposes.
- Personal data stays protected. This licence covers the content as creative material. Any personal data in it is handled only as the Pearl Privacy Policy allows. This licence is not consent to personalised advertising and does not change your marketing-email choice, and we will not feature content that identifies you or anyone else (for example a face, a voice or a name) in our marketing unless that person has agreed.
- Opting out of being featured. You can ask us at any time not to feature your content in marketing or promotion by e-mailing support@perlicom.com with the subject "Do not feature my content". We will stop using it in new marketing materials.
- How long the licence lasts. The licence ends when you delete the content or your account, except for: content you shared with other people who have not deleted it; content already used in marketing or promotional materials published before the deletion (we will not use it in new ones); backup copies, until they expire under our normal retention schedule; and anything we must keep to comply with the law.
- Your promise to us. You confirm that you own your content or have every right needed to grant this licence, and that your content and our use of it as these terms allow will not infringe anyone's rights or break the law.
12. Feedback and suggestions
If you send us ideas, suggestions, feature requests or other feedback about our apps, you agree that we may use, adapt and commercialise it freely, without any obligation to you and without paying you. Feedback is voluntary and you do not have to give it.
13. Our intellectual property
Pearl, its software, design, text, graphics, logos, names, libraries and content supplied by us, and every update, improvement and derivative of them, are owned by Perlicom Systems Ltd or its licensors and are protected by copyright, database right, trade mark and other laws. We also own the material that Pearl's own engines, templates and libraries generate (its "outputs"), except your content and copies, scans, conversions or edits of your content, which remain yours. We give you a personal, non-exclusive, non-transferable, revocable licence to install and use Pearl, and to use its outputs for your own personal purposes, in line with these terms. Every right not expressly granted to you is reserved. You may not copy, sell, rent, sub-license or redistribute Pearl, or reverse engineer, decompile or modify it, except to the extent the law allows this regardless of these terms.
14. Anonymised and aggregated information
We may create information from the use of our apps that is anonymised (it no longer identifies you or anyone else and cannot reasonably be linked back to a person) or aggregated (combined with information about many users so that no individual can be identified). Anonymised and aggregated information is not personal data. Perlicom Systems Ltd owns it outright and may use, publish, license, commercialise and sell it for any purpose, including research, statistics, benchmarking, product development and commercial reports. We will not try to re-identify anyone from it, and we require anyone we give it to not to try either.
15. Advertising is your choice
Accepting these terms is not consent to personalised advertising, and you do not give that consent by using Pearl.
- Personalised ads only with consent. Pearl shows adverts served by Google AdMob. In the EU, the EEA, the UK and Switzerland, adverts are personalised only if you agree in the Perlicom EU consent message (Google's consent tool) when it is shown, and you can change your choice at any time from the app's privacy options. The Privacy Policy explains what the consent message covers and what happens if you decline it.
- Marketing e-mails are your choice. See "Marketing emails" below: on by default at sign-up, and you can opt out there or at any time.
16. Marketing emails
- What we send. News and offers about Perlicom Systems Ltd's own apps and services, by e-mail. We never send offers from, or on behalf of, other companies, and we never give your e-mail address to anyone else for their marketing.
- On by default, your choice. When you create an account, the "Emails from Perlicom" box is ticked for you, and you can untick it right there before you continue. This is the "soft opt-in" that Irish law allows for a company's own similar products (S.I. No. 336 of 2011, Regulation 13(11)). Closing the sign-up question without continuing records nothing, and we do not send marketing e-mails until a choice is recorded.
- Opting out at any time, free of charge. Turn off "Emails from Perlicom" in the app's About or Settings screen, use the unsubscribe link in any marketing e-mail, or e-mail support@perlicom.com. One choice covers every app of ours that uses your account, and a "no" is never switched back on unless you turn it on yourself.
- The record we keep. We keep a record of your choice, the wording you saw and its version, the app and the date and time, so we can show what you agreed to.
- Service messages are not marketing. We may contact you about your account, security, purchases and changes to these terms or the Privacy Policy as part of providing Pearl; these are not affected by your marketing choice.
17. Acceptable use
You must not, and must not help anyone else to:
- use Pearl for anything unlawful, fraudulent, harmful or abusive, or in breach of anyone's rights, including privacy and intellectual property rights;
- upload or share content that is illegal, infringing, defamatory, threatening, harassing, hateful, sexually exploits or endangers children, or contains malware;
- try to gain unauthorised access to Pearl, our servers or other users' accounts or data, or to get around security, usage limits, ad consent, licence checks or payment;
- disrupt, overload or attack our services, or access them by automated means (for example scraping or bulk account creation) except through features we provide for that purpose;
- impersonate anyone, misrepresent your connection with anyone, or create accounts for others without their authority;
- resell, rent or commercially exploit Pearl or its outputs except where these terms allow it.
18. Third-party services and app stores
Pearl relies on services run by other companies, such as Google Sign-In and the app store you installed it from. Their own terms and privacy policies apply to those services. If you installed Pearl from Google Play, the Apple App Store, the Amazon Appstore or the Samsung Galaxy Store, that store's terms (including, for the Apple App Store, Apple's Licensed Application End User License Agreement) also apply and stay in force alongside these terms. If these terms and the store's terms conflict on a matter that the store's terms govern, such as payment and refunds for purchases made through that store, the store's terms apply to that matter.
19. Suspension and termination
You can stop using Pearl at any time, and you can delete your account as described in the Privacy Policy.
We may suspend or end your access to Pearl or to any feature, or remove content, if we reasonably believe that you have broken these terms or the law, that your use creates a risk for us, other users or third parties, that this is needed to prevent fraud or abuse, or that the law or an authority requires it. Where reasonable we will tell you first and give you the reason, unless that would be unlawful or create a risk.
20. Withdrawing Pearl and shutting down its servers
Running Pearl's servers, storage and backups costs money whether or not people use them. We may therefore withdraw Pearl, or any of its online features, and shut down the servers and services behind them, for any genuine reason, including because too few people use it, because it is no longer viable for us to run, or because a supplier we rely on withdraws or changes its service. If we do:
- we will tell you at least 30 days in advance, in the app, by e-mail or on our website, where practicable (we may need to act sooner if a supplier, the law or a security problem gives us no choice);
- where Pearl lets you download or export your content, you can do so during the notice period, and after the shutdown the content kept on our servers will be deleted as described in the Privacy Policy;
- the parts of Pearl that depend on our servers will stop working, although parts that work on your device alone may keep working.
The sections on your content, feedback, our intellectual property, anonymised and aggregated information, disclaimers, limitation of liability, indemnity and governing law continue to apply after these terms end.
21. Disclaimers
To the fullest extent the law allows, Pearl is provided "as is" and "as available". We do not promise that it will always be available, uninterrupted, secure or error-free, that it will meet your particular needs, or that information it provides is complete or accurate. Pearl is not professional advice, and it is not designed to be relied on where its failure could lead to death, personal injury or serious damage to property or the environment. You are responsible for keeping your own copies of content that matters to you.
22. Limitation of liability
To the fullest extent the law allows, we are not liable for any loss that was not reasonably foreseeable, for loss of data, profit, revenue, business, goodwill or opportunity, or for indirect or consequential loss, arising from Pearl or these terms. Our total liability to you for all claims connected with Pearl or these terms is limited to the greater of the amounts you paid us for Pearl in the 12 months before the claim and 100 euro.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law. If you are a consumer, nothing in these terms affects your statutory rights, including under the Consumer Rights Act 2022 and the Sale of Goods and Supply of Services Act 1980 in Ireland, or the mandatory consumer law of the country where you live.
23. Indemnity
You agree to compensate us for losses, damages and reasonable costs (including reasonable legal costs) that we incur because of a claim by a third party arising from your content, your breach of these terms or your breach of the law, to the extent that the claim was caused by you. If you are a consumer, this applies only as far as the law allows.
24. Changes to Pearl and to these terms
We may change Pearl, for example to add, change or remove features, or to meet legal, security or store requirements. We may also update these terms. When a change materially affects you, we will tell you in advance, in the app, by e-mail or on the store listing, normally at least 30 days before it takes effect, unless a change is needed sooner for legal or security reasons. The effective date (and version, where shown) at the top of these terms identifies the current version. If you keep using Pearl after a change takes effect, the updated terms apply. If you do not agree to a change, you can stop using Pearl and delete your account.
25. Governing law and disputes
These terms are governed by the laws of Ireland, and the courts of Ireland have jurisdiction over any dispute arising from them or from Pearl. If you are a consumer living elsewhere in the EU, the EEA or the UK, you also keep the protection of the mandatory laws of your country and may bring proceedings in your own courts.
26. General
- Entire agreement. These terms, the Pearl Privacy Policy, any terms shown when you make a purchase, and the app store terms mentioned above make up the whole agreement between you and us about Pearl.
- Severability. If a court decides that any part of these terms is invalid or unenforceable, that part is removed or limited to the minimum extent necessary and the rest of these terms stays in force.
- No waiver. If we do not enforce a right straight away, we can still enforce it later.
- Transfer. We may transfer our rights and obligations under these terms to another organisation, for example as part of a reorganisation or sale of our business, and we will make sure the transfer does not reduce your rights. You may not transfer your rights under these terms without our written agreement.
- Events outside our control. We are not responsible for delays or failures caused by events outside our reasonable control.
- Language. These terms are written in English, and the English version applies.
